Job Location: Delhi / NCR
Job Summary
We are seeking an experienced and qualified Company Secretary with over 5 years of post-qualification experience to manage corporate governance, regulatory compliance, and board secretarial functions. The ideal candidate should possess deep knowledge of the Companies Act, SEBI regulations, and other statutory frameworks, and have experience working in a listed or large private company.
Qualifications & Experience
- Qualified Company Secretary (ICSI)
- 10+ years of relevant post-qualification experience in a corporate or listed company
- In-depth understanding of corporate laws, SEBI regulations, and compliance requirements
- Strong written and verbal communication skills
- Ability to maintain confidentiality and exercise discretion
- Proficient in MS Office and secretarial software (e.g., MCA portal, XBRL, compliance tools)
Key Skills & Competencies
- Experience in a listed entity or regulated industry (e.g., BFSI, Pharma, Energy)
- Exposure to handling investor relations or shareholder communication
- Knowledge of ESG reporting or corporate sustainability compliance is a plus
Key Responsibilities
- Ensure compliance with Companies Act, SEBI (LODR), FEMA, RBI regulations, and other applicable laws
- Manage all board and committee meetings: drafting agenda, issuing notices, preparing minutes, and maintaining statutory registers
- Act as the point of contact between the company and regulatory bodies (e.g., MCA, SEBI, Stock Exchanges)
- Handle filings and submissions with MCA, ROC, SEBI, and RBI (e.g., MGT-7, AOC-4, DIR-3 KYC, PAS-6)
- Ensure timely disclosures and submissions as per SEBI Listing Obligations (if applicable)
- Manage secretarial audits, corporate governance reporting, and internal policies
- Maintain and update the company’s statutory books and records
- Support mergers, acquisitions, and other strategic corporate actions
- Liaise with external stakeholders including legal advisors, auditors, and consultants
